These Wholesale Program Terms & Conditions (the "Terms") govern enrollment in and purchases through our wholesale channel (the "Wholesale Program"). By applying for, being approved for, or placing an order through the Wholesale Program, you agree to these Terms.

Eligibility & Enrollment

  • Who can apply: Hobbyists, collectors, registered businesses, retailers, nurseries, and qualified resellers may apply by submitting a completed Wholesale Application with the required credentials.
  • Minimum to unlock wholesale pricing: Wholesale discounts apply once your cart subtotal reaches USD $600 (or equivalent in your checkout currency) before shipping, taxes, and fees.
  • Account approval: We review each application at our sole discretion. We may approve, decline, or request additional information.

Pricing, Quotes & Availability

  • Wholesale pricing is visible only to approved accounts and may change without prior notice.
  • Quotes/estimates are valid only for the time stated on the document; if none is stated, validity is 7 days.
  • Availability & substitutions: Live-plant availability fluctuates. We may suggest substitutions of comparable species/size if an item becomes unavailable. Substitutions proceed only with your consent.

Payment Terms — 100% Prepayment Required

  • Payment due in full (100%): All wholesale invoices must be paid 100% in advance before we allocate stock, begin preparation, schedule phytosanitary inspection, or dispatch any shipment.
  • Payment methods: We accept the payment methods shown at checkout or on your invoice (e.g., bank transfer, card, or other gateways). Any bank charges, transfer fees, gateway fees, FX conversion costs, or chargeback fees are your responsibility.
  • Currency & FX: If you pay in a different currency, your bank or processor sets the exchange rate. Shortfalls caused by FX or fees must be topped up before processing.
  • Non-payment / late payment: Unpaid invoices may be cancelled after the due date shown. Prices and inventory are not held beyond the due date.
  • Chargebacks & disputes: Filing a chargeback without first contacting us to resolve an issue may result in account suspension.

Orders, Lead Times & Cancellations

  • Lead time: Typical preparation time for wholesale orders is 1–2 weeks from full payment and receipt of required documents (e.g., import permit), but may vary by season and inspection schedules.
  • Cancellations: Because orders are customized and involve live plants and certifications, cancelled orders may incur up to 30% restocking/handling to cover prep work already performed. Once plants are inspected/sealed for export, orders are final and cannot be cancelled.

Free Sample Offer (Complimentary Plant)

  • Eligibility: Upon initial approval, each new wholesale account is entitled to one complimentary, randomly selected plant sample.
  • At our discretion: The species, size, and root condition of the free sample are determined solely by us and cannot be exchanged or returned.

Costs for the Free Sample (Customer Responsibility)

  • You are responsible for all charges associated with delivering the free sample, including: international courier shipping from Indonesia, fees for obtaining/processing the Phytosanitary Certificate, and all import taxes, duties, and customs clearance charges imposed by the destination country or its agents.
  • Depending on the courier's policy, these costs may be collected before shipment or upon delivery.

Requesting Your Free Sample

  • Optional: Requesting the complimentary sample is entirely optional. You may choose to request it or decline it. Declining does not affect your Wholesale Program eligibility, pricing tier, or future order terms.
  • Submit complete recipient details (name, delivery address, phone, and email) through our Wholesale Portal.
  • We will send an estimated cost summary for review. If advance payment is required by the courier or agent, it must be paid before we proceed; otherwise, you agree to pay any due fees on delivery.
  • Once terms are confirmed, we aim to prepare and ship the sample within 1–2 weeks.

Compliance, Permits & Import Responsibility

  • Your responsibility: You must verify that the sample or ordered species are legal to import into your jurisdiction and obtain any required import permits or documentation before ordering.
  • Consequences of missing/invalid paperwork: Shipments delayed, returned, or confiscated due to missing or invalid import documents remain your responsibility. Any associated costs (return freight, storage, disposal, fines) will be billed accordingly.

Shipping, Risk of Loss & Claims

  • Risk in transit: Shipping live plants carries inherent risk. For the free sample, we do not replace or refund items lost or damaged in transit.
  • Claims: Any claims against the courier (e.g., DHL) must be filed directly by you. We can assist with documentation upon request but do not assume liability for the courier's handling or decisions.
  • Transit timelines: Delivery estimates are not guarantees and may be affected by inspections, weather, holidays, or customs workloads.

Free Shipping & Phytosanitary Certificate — Eligibility (Wholesale Orders Only)

  • Free Phytosanitary Certificate (phyto): Included at no charge for all paid wholesale orders (per export shipment). This does not apply to the complimentary free-sample shipment, where phyto fees are the customer's responsibility.
  • Free express shipping: Available for a single export shipment when the order subtotal (after discounts; before shipping/taxes/fees) is ≥ USD $600 to eligible delivery zones (including the USA (contiguous), Canada (major metros), UK, EU Schengen, Singapore, Hong Kong, Japan, South Korea, Australia, New Zealand).
  • Exclusions: remote-area surcharges, PO boxes, islands/territories with special handling, oversized/over-weight consignments, multiple-box splits, address corrections, re-delivery/storage, and any customs-imposed fees or taxes.
  • What's not covered: The free-sample shipment never qualifies for free shipping. Split shipments requested by the customer may void the free-shipping benefit or limit it to one box at our discretion.
  • Method & changes: We choose the express service (e.g., DHL/UPS/FedEx). We may update eligibility countries, thresholds, or methods at any time; the version published at checkout/invoice applies.

Quality, Acclimation & Live-Arrival Policy (Wholesale)

  • Plants may exhibit shipping stress (leaf yellowing, cosmetic damage, reduced turgor). This is normal and not a defect. Allow a suitable acclimation period after arrival.
  • Unless a written Live-Arrival Guarantee is expressly included on your invoice, wholesale sales are AS-IS, and no refunds or replacements are offered for transit/cosmetic issues beyond courier-insured events.

Returns & Exchanges (Wholesale)

  • Final sale: Wholesale orders (including the free sample) are final and not eligible for return or exchange, except where required by applicable law or a written exception on your invoice.

Account Conduct; Suspension & Termination

  • We may suspend or terminate a wholesale account at our discretion for non-compliance, abuse of the free sample offer, suspected fraud, or repeated payment defaults.
  • Upon termination, all outstanding charges remain payable in full.

Intellectual Property & Marketing Use

  • You may use our product photos or content only with written permission. Our trademarks, logos, and branding may not be used without prior written consent.
  • You are responsible for all marketing claims you make when reselling our plants and for compliance with local labeling and consumer laws.

Changes to These Terms

  • We may update these Terms at any time. Revisions will be published on our website under "Wholesale Program Terms & Conditions." Updates apply to all orders placed after the stated effective date.

Governing Law & Dispute Resolution

  • These Terms are governed by the laws of our operating jurisdiction. Any disputes shall be resolved in that jurisdiction's courts, unless we mutually agree on arbitration or another forum in writing.

  • These Wholesale Terms supplement and are incorporated into our general Terms & Conditions for retail/general customers.
  • In the event of any conflict between the two, these Wholesale Terms govern for Wholesale Program applications and orders. All other matters are covered by the general Terms & Conditions.
